Is a property-holding GmbH worthwhile for my real estate?

If rental income is to be reinvested, a GmbH can be significantly more tax-efficient than private ownership. In return, a later sale from the GmbH is not tax-free after ten years, as it is for privately held property. Which option fits depends on your goals and time horizon.

Can I transfer existing properties into a GmbH?

In principle, yes, but the transfer can trigger real estate transfer tax and taxation of hidden reserves. That's why we calculate beforehand whether the move pays off or whether only new properties should go into the GmbH.

When are property sales considered commercial?

Under German case law, selling more than three properties within five years of purchase generally indicates commercial property trading. If you buy and sell frequently, have your structure reviewed in advance.
